Terms of Service

Please read these terms carefully before using HelpDesk Pro Plus.

These Terms of Service ("Terms") constitute a legally binding agreement between you and River Code Solutions governing your access to and use of HelpDesk Pro Plus. By registering or using the Service, you agree to be bound by these Terms.

1 Acceptance of Terms

These Terms apply to all users of the Service including Tenant Administrators, Agents, Customer Admins, and Customer Users.

By clicking "I agree", completing registration, or accessing the Service, you enter into a binding contract with River Code Solutions. If you are accepting on behalf of an organisation, you represent that you have authority to do so.

We reserve the right to modify these Terms at any time. We will notify you of material changes via email or in-app notification. Continued use after changes constitutes acceptance of the revised Terms.

2 Account Registration & Security

You must provide accurate, complete, and current information during registration and keep your account information updated.

You are responsible for maintaining the confidentiality of your login credentials and all activity under your account. Notify us immediately of any unauthorised access or security breach.

3 Subscription Plans & Billing

The Service is offered under subscription plans with limits on agents, customers, and features. Plans are billed monthly or yearly as selected at checkout.

4 Acceptable Use

You agree to use the Service only for lawful purposes. Prohibited uses include:

Violations may result in immediate suspension or termination without refund.

5 Know Your Customer (KYC) Verification

Certain features require KYC verification for Tenant accounts and Customer companies. You agree to provide accurate and genuine documentation when requested. Submission of false or fraudulent documents is prohibited and may result in account termination and referral to authorities. KYC documents are handled per our Privacy Policy.

6 Intellectual Property

The Service and all related content are the exclusive property of River Code Solutions. We grant you a limited, non-exclusive, non-transferable licence to use the Service for internal business purposes.

You retain ownership of all data and content you upload ("Customer Data") and grant us a limited licence to host and process it solely to provide the Service.

7 Data & Content

You are solely responsible for the accuracy and legality of Customer Data you upload. We implement reasonable security measures to protect it. Upon termination, data is retained 30 days for export, then permanently deleted. We do not sell Customer Data to third parties.

8 Service Availability & Support

We aim for high availability but do not guarantee uninterrupted operation. Scheduled maintenance will be notified in advance where practicable. We are not liable for losses arising from Service unavailability or modification.

9 Service Availability & Support

The Service is provided on commercially reasonable efforts basis targeting 99% monthly availability, excluding maintenance, force majeure, and third-party failures. We may modify or discontinue the Service with 30 days' notice for material changes. Support response times are targets only, not guaranteed SLAs.

13 Disclaimer of Warranties

⚠ THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, RIVER CODE SOLUTIONS EXPRESSLY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTY THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, VIRUS-FREE, OR MEET YOUR REQUIREMENTS. No advice or information obtained from us creates any warranty not stated in these Terms.

14 Limitation of Liability

⚠ THIS SECTION SIGNIFICANTLY LIMITS RIVER CODE SOLUTIONS' LIABILITY. PLEASE READ IT CAREFULLY.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, RIVER CODE SOLUTIONS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS INTERRUPTION — REGARDLESS OF THE LEGAL THEORY AND EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL CUMULATIVE LIABILITY FOR ALL CLAIMS SHALL NOT EXCEED THE GREATER OF: (A) FEES PAID BY YOU IN THE 3 MONTHS PRECEDING THE CLAIM; OR (B) USD 100. MULTIPLE CLAIMS DO NOT EXPAND THIS CAP. YOU ACKNOWLEDGE THAT FEES REFLECT THIS RISK ALLOCATION.

15 Indemnification

You agree to defend, indemnify, and hold harmless River Code Solutions, its affiliates, officers, directors, employees, and agents from all claims, damages, liabilities, and expenses (including legal fees) arising from: your use of the Service; your Customer Data; your violation of these Terms or any law; your infringement of any third-party right; or any gross negligence or wilful misconduct by you or your Users. This obligation survives termination.

16 Force Majeure

River Code Solutions is not liable for delay or failure to perform caused by circumstances beyond our reasonable control, including: acts of God, natural disasters, pandemics, war, terrorism, government actions, third-party infrastructure failures (cloud providers, internet backbone, DNS, power grid), cyberattacks by third parties, or labour disputes. We will notify you promptly and use reasonable efforts to resume performance. If a force majeure event continues beyond 60 days, either party may terminate the affected Subscription with a pro-rated credit.

17 Data Security & Breach Notification

We implement reasonable technical and organisational security measures including PBKDF2 password hashing, TLS encryption, tenant data isolation, rate limiting, and 2FA capability. HOWEVER, WE DO NOT GUARANTEE THAT THE SERVICE WILL BE FREE FROM SECURITY BREACHES OR CYBERATTACKS. You accept this risk. In the event of a confirmed breach likely to affect your rights, we will notify you within 72 hours as required by law. Onward notification to your users or regulators remains your responsibility.

18 Neutral Platform & Safe Harbour

River Code Solutions is a neutral technology platform provider. We do not create, select, modify, or endorse Customer Data and exercise no editorial control over it. We disclaim liability for Customer Data under applicable law including the Indonesian ITE Law (No. 11/2008 as amended). We reserve the right — but have no obligation — to remove content we believe violates applicable law or these Terms. To report infringing content, email: legal@rivercodesolutions.com.

19 Term & Termination

You may terminate at any time — no refund for prepaid fees. We may immediately suspend or terminate for: material breach not cured within 7 days; non-payment after 14 days; insolvency; legal requirement; security risk; or fraudulent KYC. On termination: all licences end immediately; you may export data within 30 days; accrued payment obligations survive. Sections on IP, Warranties, Liability, Indemnification, and Governing Law survive indefinitely.

20 Governing Law & Disputes

These Terms are governed by Indonesian law. Disputes require 30 days' good-faith negotiation, then binding arbitration before BANI in Jakarta, Indonesia (single arbitrator, confidential). We may seek emergency injunctive relief in any court. Claims must be brought within 1 year of the event giving rise to the claim — claims not brought within this period are permanently barred. TO THE MAXIMUM EXTENT PERMITTED BY LAW, YOU WAIVE ANY RIGHT TO CLASS ACTION PROCEEDINGS.

21 General Provisions

These Terms are the entire agreement between the parties and supersede all prior agreements. Invalid provisions are modified to the minimum extent necessary to be enforceable; remaining provisions continue in effect. No waiver of any breach constitutes a waiver of any subsequent breach. You may not assign these Terms without our written consent; we may freely assign. These Terms do not create agency, partnership, or employment. Claims must be brought within 1 year. The English language version of these Terms controls over any translation. Electronic notice satisfies writing requirements.
